TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of iManage and related services (the “Service”), provided by BODY TIME EMS Fitness LLC (together with its affiliates, “BODY TIME”, “we”, “us”, “our”).

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) The Service
iManage is a business management and CRM platform intended for organizations to manage operations (for example: scheduling, customers, staff, sales, and reporting). The Service may include integrations with third-party platforms (including Meta products such as WhatsApp).

2) Eligibility and Accounts
You must be authorized to act on behalf of the business you represent. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

3) Acceptable Use
You agree not to:
– Use the Service for unlawful, harmful, or fraudulent activity
– Interfere with or disrupt the Service or its security
– Attempt to access data or accounts you are not permitted to access
– Upload or transmit malware or exploit vulnerabilities

4) Customer Data and Business Responsibilities
If you use iManage to process data about your customers, clients, or employees (“Customer Data”), you represent and warrant that you have the right to collect, use, and share such data and that you will comply with applicable laws, including privacy and marketing laws.

5) Third-Party Services and Meta Integrations
The Service may connect to third-party services (for example, WhatsApp Business Platform and other Meta products). Your use of third-party services is governed by the third party’s terms and policies. We do not control third-party services and are not responsible for their availability, security, or actions.

6) Intellectual Property
We and our licensors own the Service, including its software, designs, and branding. You may not copy, modify, distribute, sell, or lease any part of the Service except as permitted by law or by our written consent.

7) Fees (if applicable)
Some features may be paid. If fees apply, they will be disclosed to you before purchase. Taxes may apply. Non-payment may result in suspension or termination of access.

8) Availability and Changes
We may modify, suspend, or discontinue the Service (in whole or in part) and may update these Terms from time to time. We will post updates on this page. Continued use after changes means you accept the updated Terms.

9) Disclaimer
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.

10) Limitation of Liability
To the maximum extent permitted by law, BODY TIME will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amounts paid by you to us for the Service in the 12 months before the event giving rise to the claim (or USD 100 if none were paid).

11) Termination
You may stop using the Service at any time. We may suspend or terminate access if we reasonably believe you violated these Terms, or if required by law or third-party platform requirements.

12) Governing Law
These Terms are governed by the laws of the United Arab Emirates, as applicable in Dubai, without regard to conflict-of-law principles. Courts of Dubai shall have exclusive jurisdiction, unless mandatory laws require otherwise.
